Agreement to These Terms

I am Ryan Balungeli, operating this site as Lumigrid Live ("Lumigrid Live," "I," "me," or "my"), based in North Carolina, United States. I operate the website https://lumigrid.live (the "Site"), along with any other content that links to these Terms of Use (collectively, the "Services").

Lumigrid Live is my personal portfolio and studio site. It showcases my web design and development work and lets visitors learn about my services and book a consultation call. The Site does not offer any product, software, or service for purchase directly, engagements are arranged separately outside the Site.

These Terms of Use are a legally binding agreement between you and me concerning your access to and use of the Services. By accessing the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

I recommend you keep a copy of these Terms for your records.

Intellectual Property Rights

I own or license all intellectual property in the Services, including the source code, design, text, photographs, and graphics (the "Content"), as well as the Lumigrid trademarks and logos (the "Marks"). The Content and Marks are protected by copyright and trademark law and are provided "as is" for your personal, non-commercial viewing.

Subject to your compliance with these Terms, including the Prohibited Activities section below, you may access the Services and download or print a copy of any portion of the Content you've properly accessed, solely for personal, non-commercial reference. Beyond that, no part of the Services, Content, or Marks may be copied, reproduced, republished, distributed, sold, or otherwise exploited for any commercial purpose without my express written permission.

If you'd like to use the Services, Content, or Marks beyond what's set out here, email ryan@lumigrid.ai. If I ever grant that permission, you must credit Lumigrid Live as the owner and keep any copyright notice visible.

I reserve all rights not expressly granted here. Any breach of this section ends your right to use the Services immediately.

User Representations

By using the Services, you represent that you have the legal capacity to agree to these Terms, will not access the Services through bots or other automated means, will not use the Services for any unlawful purpose, and that your use will comply with applicable law.

If you are under 18, you need a parent or guardian's permission to use the Services.

Prohibited Activities

You may not use the Services for anything beyond viewing the portfolio, learning about my work, and booking a consultation call. As a visitor, you agree not to:

• Copy, scrape, or reproduce the Site's content, code, or design without permission
• Attempt to access, probe, or interfere with the Site's normal operation or security
• Use any automated system, bot, or scraper against the Services beyond normal search-engine indexing
• Attempt to impersonate me or another person, or use the Services to harass, threaten, or defraud anyone
• Use the Services in any way that violates applicable law

Third-Party Websites and Content

The Services may link to other websites, most notably Calendly at calendly.com/lumigrid, opens in a new tab, which is the only place you're ever asked to provide information. Those third-party sites are outside my control, I don't review or endorse them, and I'm not responsible for their content, privacy practices, or availability. Anything you do on a third-party site is governed by that site's own terms, not these.

Services Management

I reserve the right, but not the obligation, to monitor the Services for violations of these Terms, take appropriate action against anyone who violates them or applicable law, and otherwise manage the Services to keep them running properly and protect my rights.

Privacy Policy

Please review my Privacy Policy at https://lumigrid.live/privacy, which is incorporated into these Terms by reference. The Services are hosted in the United States; if you access them from elsewhere, you're transferring your data to the United States and consenting to it being processed here.

Term and Termination

These Terms remain in effect while you use the Services. I reserve the right, in my sole discretion and without notice, to deny access to the Services to anyone for any reason, including breach of these Terms or applicable law.

Modifications and Interruptions

I may change, update, or remove content on the Services at any time without notice, and I have no obligation to keep it current. I can't guarantee the Services will always be available, there may be downtime for maintenance or other reasons, and I won't be liable for any inconvenience that causes.

Governing Law

These Terms and your use of the Services are governed by the laws of the State of North Carolina, applicable to agreements made and performed entirely within North Carolina, without regard to conflict-of-law principles.

Dispute Resolution

Informal negotiations. Before either of us starts arbitration over a dispute related to these Terms, we agree to first try to resolve it informally for at least thirty (30) days, starting from written notice from one party to the other.

Binding arbitration. If informal negotiation doesn't resolve the dispute, it will be finally resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), available at adr.org, opens in a new tab. You understand that without this clause, you'd have the right to sue in court and have a jury trial. If the arbitrator determines arbitration costs are excessive, I will pay all arbitration fees and expenses. Arbitration will take place in North Carolina, and may be conducted in person, by document submission, by phone, or online.

If a dispute proceeds in court instead, it will be handled in the state and federal courts located in North Carolina, and both of us consent to jurisdiction and venue there.

Restrictions. Arbitration is limited to disputes between the two of us individually, no class actions, no representative claims.

Exceptions. Disputes about intellectual property rights, theft, invasion of privacy, unauthorized use, or claims for injunctive relief are not subject to informal negotiation or arbitration and can be brought directly in court.

Corrections

The Services may contain typos or outdated information. I reserve the right to correct errors and update the Services at any time without prior notice.

Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, I DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. I MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR ANY LINKED THIRD-PARTY SITE, AND I ASSUME NO LIABILITY FOR ERRORS OR INACCURACIES IN THAT CONTENT, INTERRUPTIONS TO THE SERVICES, OR ANY HARM RESULTING FROM YOUR USE OF THEM.

Limitations of Liability

IN NO EVENT WILL I BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MY LIABILITY TO YOU FOR ANY CAUSE, REGARDLESS OF THE FORM OF ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO ME. SOME JURISDICTIONS DON'T ALLOW THESE LIMITATIONS, SO SOME OR ALL OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to defend and hold me harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to your use of the Services, your breach of these Terms, your violation of a third party's rights, or any harmful act toward another user of the Services.

Electronic Communications

Visiting the Services and emailing me constitute electronic communications. You consent to receive communications from me electronically, and agree that satisfies any legal requirement that such communications be in writing.

California Users and Residents

If a complaint with me isn't resolved to your satisfaction, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by phone at (800) 952-5210 or (916) 445-1254.

Miscellaneous

These Terms, along with the Privacy Policy, are the entire agreement between you and me regarding the Services. If I don't enforce a provision, that's not a waiver of it. If any part of these Terms is found unenforceable, the rest stays in effect. Nothing here creates a partnership, employment, or agency relationship between us.

Portfolio, Attribution, and Existing Work

Upon full payment, Client grants Developer (Lumigrid Live) permission to display the completed project, Client's name, and non-confidential project materials in Developer's portfolio, case studies, social media, and promotional materials. With Client's prior approval, Developer may include a small, unobtrusive text-only attribution link (such as "Website by Lumigrid Live") in the website footer or a credits page; Client may request its removal at any time. For projects involving an existing website or prior developer work, Developer will not represent prior work as Developer's own and may use accurate language such as "maintained by" or "updated by" only with Client's approval.
